Les Chambres ont adopté et Nous sanctionnons ce qui suit :

Article 1er.La présente loi règle une matière visée à l'article 77 de la Constitution.

Art. 2.L'Accord entre l'Union économique belgo-luxembourgeoise et le Gouvernement de la République de l'Inde concernant l'encouragement et la protection des investissements, signé à New Delhi le 31 octobre 1997, sortira son plein et entier effet.

Promulguons la présente loi, ordonnons qu'elle soi revêtue du sceau au de l'Etat et publiée par le Moniteur belge.

ACCORD ENTRE L'UNION ECONOMIQUE BELGO-LUXEMBOURGEOISE ET LE GOUVERNEMENT DE LA REPUBLIQUE DE L'INDE CONCERNANT L'ENCOURAGEMENT ET LA PROTECTION DES INVESTISSEMENTS L'Union economique belgo-luxembourgeoise, représentée par le Gouvernement du Royaume de Belgique, agissant tant en son nom qu'au nom du Gouvernement du Grand-Duché de Luxembourg, en vertu d'accords existants, le Gouvernement de la Région wallonne, le Gouvernement de la Région flamande, et le Gouvernement de la Région de Bruxelles-Capitale, d'une part, et Le Gouvernement de la République de l'Inde, d'autre part, tous deux dénommés ci-après "Partie contractante";

Désireux de créer les conditions favorables à l'accroissement des investissements réalisés par des investisseurs de l'une des Parties sur le territoire de l'autre Partie;

Conscients de ce que l'encouragement et la protection réciproque, par la voie d'un accord international, d'investissements de ce type auront pour effet de stimuler les initiatives commerciales privées et d'accroître la prospérité dans les deux Etats;

Sont convenus de ce qui suit : Article 1er Définitions Pour l'application du présent Accord : (a) Le terme "sociétés" désigne : (i) s'agissant de l'Inde : les entreprises, sociétés de personnes et associations constituées ou établies conformément au droit en vigueur dans n'importe quelle partie de l'Inde; (ii) s'agissant de l'Union Economique Belgo-Luxembourgeoise : toute personne morale constituée conformément à la législation du Royaume de Belgique ou du Grand-Duché de Luxembourg et ayant son siège social sur le territoire du Royaume de Belgique ou du Grand-Duché de Luxembourg; (iii) s'agissant des deux Parties Contractantes : toute entreprise établie dans un pays tiers conformément à la législation de celui-ci, dans laquelle des investisseurs de l'une des Parties contractantes détiennent une participation de cinquante-et-un pourcent au moins. (b) Le terme "investissements" désigne tout élément d'actif quelconque et tout apport en numéraire, en nature ou en services, investi ou réinvesti dans tout secteur d'activité économique, quel qu'il soit, conformément à la législation nationale de la Partie contractante sur le territoire de laquelle l'investissement est réalisé, et notamment, mais non exclusivement : (i) les biens meubles et immeubles ainsi que tous autres droits tels que hypothèques, privilèges, usufruits ou gages; (ii) les actions, titres et obligations de sociétés et toute autre forme analogue de participation, même minoritaire, au capital de ces sociétés; (iii) les créances et droits à toutes prestations contractuelles ayant une valeur financière; (iv) les droits de propriété intellectuelle en conformité avec la législation y relative de la Partie contractante concernée; (v) les concessions à des entreprises conférées en vertu du droit ou d'un contrat, notamment celles relatives à la prospection, à la mise en valeur, à l'exploitation et à l'extraction de pétrole, de minéraux ou d'autres ressources naturelles.(c) Le terme "investisseurs" désigne tout ressortissant ou toute société de l'une ou l'autre des Parties Contractantes.(d) Le terme "nationaux" désigne : (i) s'agissant de l'Inde : les personnes dont la qualité de ressortissants indiens découle du droit en vigueur en Inde; (ii) s'agissant de l'Union Economique Belgo-Luxembourgeoise : toute personne physique qui, selon la législation du Royaume de Belgique ou du Grand-Duché de Luxembourg, est considérée comme citoyen du Royaume de Belgique ou du Grand-Duché de Luxembourg. (e) Le terme "revenus" désigne les sommes produites par un investissement, telles que les bénéfices, intérêts, accroissements de capital, dividendes, royalties et indemnités. Aucune modification de la forme juridique dans laquelle les avoirs et capitaux ont été investis ou réinvestis n'affectera leur qualification d' "investissements" au sens du présent Accord. (f) Le terme "territoire" désigne : (i) en ce qui concerne l'Inde : le territoire de la République de l'Inde, y compris ses eaux territoriales et l'espace aérien au-dessus de celles-ci ainsi que les autres zones maritimes comprenant la Zone économique exclusive et le plateau continental sur lesquelles la République de l'Inde exerce sa souveraineté, ses droits souverains ou sa juridiction exclusive, conformément à sa législation en vigueur, à la Convention des Nations Unies sur le Droit de la Mer de 1982 et au droit international. (ii) en ce qui concerne l'Union Economique Belgo-Luxembourgeoise : le territoire du Royaume de Belgique ou le territoire du Grand-Duché de Luxembourg, ainsi que les zones maritimes, c'est-à-dire les zones marines et sous-marines qui s'étendent au-delà des eaux territoriales de l'Etat concerné et sur lesquelles celui-ci exerce, conformément au droit international, ses droits souverains et sa juridiction aux fins d'exploration, d'exploitation et de conservation des ressources naturelles.

Article 2 Champ d'application de l'accord Le présent Accord s'applique à tous les investissements réalisés par des investisseurs de l'une des Parties Contractantes sur le territoire de l'autre Partie contractante, admis en tant que tels conformément aux lois et règlements de celle-ci, qu'ils soient effectués avant ou après la date de l'entrée en vigueur du présent Accord.

Article 3 Promotion et Protection des investissements (1) Chacune des Parties contractantes encouragera et créera les conditions favorables aux investissements sur son territoire par des investisseurs de l'autre Partie contractante, et admettra ces investissements en conformité avec ses lois et la politique menée dans le cadre de ses lois et facilitera l'observation des règles de procédure et des prescriptions techniques applicables aux activités liées aux investissements.(2) Les investissements et les revenus des investisseurs de chacune des Parties Contractantes jouiront en tout temps d'un traitement juste et équitable sur le territoire de l'autre Partie contractante. Article 4 Traitement national et traitement de la Nation la plus favorisée (1) Chacune des Parties contractantes accordera aux investissements réalisés par des investisseurs de l'autre Partie contractante le traitement national ou le traitement de la nation la plus favorisée, suivant le traitement le plus favorable pour l'investisseur concerné.(2) En outre, chacune des Parties Contractantes accordera aux investisseurs de l'autre Partie contractante, y compris en ce qui concerne les revenus de leurs investissements, le traitement de la nation la plus favorisée.(3) Les dispositions des paragraphes 1 et 2 ci-dessus ne pourront être interprétées comme obligeant l'une des Parties contractantes à étendre aux investisseurs de l'autre Partie le bénéfice de tout traitement, préférence ou privilège résultant : (a) d'une union douanière, d'une zone de libre-échange, d'un marché commun, ou d'un accord international analogue, existant ou futur, auquel l'une des Parties contractantes est ou deviendrait partie, ou (b) de toute matière concernant principalement ou exclusivement l'imposition. Article 5 Expropriation (1) Les investissements effectués par des investisseurs de l'une des Parties contractantes ne seront ni nationalisés, ni expropriés, ni soumis à des mesures ayant un effet équivalent à une nationalisation ou à une expropriation (désignées ci-après sous le terme d' "expropriation") sur le territoire de l'autre Partie contractante, si ce n'est dans le cadre de mesures prises légalement, dans l'intérêt public, sur une base non discriminatoire et moyennant le paiement d'une indemnité juste et équitable.Le montant des indemnités correspondra à la valeur effective des investissements expropriés immédiatement avant que l'expropriation ou l'intention d'exproprier ne soit rendue publique, suivant la première situation qui se présente; elles porteront intérêt à un taux commercial approprié jusqu'à la date de leur paiement, seront versées sans retard injustifié et seront effectivement réalisables et librement transférables. (2) L'investisseur lésé aura le droit, conformément à la législation de la Partie contractante effectuant l'expropriation, de demander la révision par une autorité judiciaire ou par toute autre autorité indépendante de ladite Partie, du cas de l'investisseur et de l'évaluation de l'investissement conformément aux principes énoncés dans le présent paragraphe.La Partie contractante procédant à l'expropriation mettra tout en oeuvre en vue de garantir que ladite révision s'effectue sans délai. (3) Si l'une des Parties contractantes exproprie les avoirs d'une société constituée conformément à la législation en vigueur dans n'importe quelle partie de son territoire, et dans laquelle des investisseurs de l'autre Partie contractante possèdent des parts, elle assurera l'application des dispositions prévues au paragraphe (1) du présent article dans la mesure nécessaire à garantir aux investisseurs de l'autre Partie contractante, titulaires de ces parts, le paiement d'une indemnité juste et équitable. Article 6 Indemnisation des dommages Les investisseurs de l'une des Parties contractantes dont les investissements sur le territoire de l'autre Partie contractante auraient subi des dommages dus à une guerre ou à tout autre conflit armé, à un état d'urgence national ou à des troubles survenus sur le territoire de ladite Partie contractante, bénéficieront, de la part de cette dernière, d'un traitement, en ce qui concerne les restitutions, indemnisations, compensations ou autres dédommagements, qui sera non moins favorable que celui accordé par cette dernière Partie contractante à ses propres investisseurs ou aux investisseurs de tout Etat tiers, suivant le traitement le plus favorable pour l'investisseur concerné. Les paiements qui en résultent seront librement transférables.

Article 7 Transferts de capitaux, d'investissements et de revenus (1) Chaque Partie contractante accordera, en ce qui concerne les investissements effectués sur son territoire par des investisseurs de l'autre Partie contractante, le libre transfert : (a) des capitaux et des capitaux supplémentaires destinés à établir, à maintenir ou à développer les investissements;(b) des bénéfices nets d'exploitation, y compris les dividendes et les intérêts au prorata de leur participation;(c) des remboursements d'emprunts en rapport avec les investissements, y compris les intérêts y relatifs;(d) des paiements de royalties et d'indemnités en rapport avec l'investissement;(e) du produit de la vente de leurs parts;(f) des revenus perçus par les investisseurs, soit en cas de vente, soit en cas de vente ou de liquidation partielle;(g) des rémunérations des citoyens/ressortissants d'une des Parties Contractantes travaillant au titre d'un investissement sur le territoire de l'autre Partie contractante.(2) Aucune disposition du paragraphe (1) du présent article ne portera atteinte au transfert des indemnités en application de l'article 6 du présent Accord. Article 8 Subrogation Si l'une des Parties contractantes ou l'organisme désigné par celle-ci a assuré une forme quelconque d'indemnisation vis-à-vis des risques non commerciaux liés à un investissement réalisé par n'importe quel investisseur sur le territoire de l'autre Partie contractante et a payé audit investisseur des indemnités suite aux revendications qu'il a fait valoir en vertu du présent Accord, cette dernière reconnaîtra que la première Partie contractante ou l'organisme public concerné est autorisé, par voie de subrogation, à exercer les droits desdits investisseurs et à faire valoir les revendications y relatives. Les droits ou revendications transférés par voie de subrogation n'excèderont pas les droits ou revendications initiaux desdits investisseurs.

Article 9 Règlement des différends relatifs aux investissements (1) Tout différend relatif aux investissements entre un investisseur de l'une des Parties contractantes et l'autre Partie contractante, fera l'objet d'une notification écrite, accompagnée d'un aide-mémoire suffisammentdétaillé, de la part de l'une ou l'autre partie au différend. Dans la mesure du possible, les parties tenteront de régler le différend par la négociation, en faisant éventuellement appel à l'avis spécialisé d'un tiers, ou par la conciliation. (2) A défaut de règlement amiable par arrangement direct entre les parties au différend ou par conciliation dans les six mois à compter de sa notification, le différend sera soumis, au choix de l'investisseur, soit à l'instance judiciaire ou d'arbitrage compétente de l'Etat où l'investissement a été réalisé, soit à l'arbitrage international.Dès que l'investisseur a exprimé son choix, celui-ci est contraignant et définitif. (3) En cas de recours à l'arbitrage international, l'une des procédures suivantes peut être suivie : (i) si l'Etat dont l'investisseur est ressortissant et l'Etat où l'investissement a été réalisé sont tous deux parties à la Convention pour le règlement des différends relatifs aux investissements entre Etats et ressortissants d'autres Etats de 1965 et si les deux parties au différend donnent par écrit leur consentement à ce que le différend soit soumis au Centre international pour le Règlement des Différends relatifs aux Investissements, le différend sera soumis audit Centre; (ii) si les deux parties au différend y consentent, le différend tombera dans le champ d'application du Règlement du Mécanisme supplémentaire pour l'application de procédures de conciliation, d'arbitrage et de constatation des faits; (iii) si le différend n'est pas réglé selon les procédures visées aux points (i) et (ii) ci-dessus, il sera soumis à un tribunal d'arbitrage ad hoc, établi selon les règles d'arbitrage de la Commission des Nations Unies pour le Droit Commercial International (C.N.U.D.C.I.). A cette fin, chacune des Parties contractantes donne son consentement anticipé et irrévocable à ce que tout différend soit soumis à ce type d'arbitrage ad hoc.

Les règles de la C.N.U.D.C.I. s'appliqueront sous réserve des dispositions suivantes : (a) L'autorité qui procède à la désignation en vertu de l'article 7 desdites règles sera le Président, le Vice-Président ou le juge le plus élevé en rang de la Cour internationale de Justice et qui n'est pas un ressortissant de l'une ou l'autre des Parties Contractantes.Le troisième arbitre ne sera pas un ressortissant de l'une ou l'autre des Parties Contractantes. (b) Les parties désigneront leurs arbitres respectifs dans les deux mois.(c) La sentence d'arbitrage sera rendue conformément aux dispositions du présent Accord.(d) Le tribunal arbitral indiquera le fondement de sa décision et la motivera à la demande de l'une ou l'autre partie.(4) Aucune des Parties contractantes, partie à un différend, ne soulèvera d'objection, à aucun stade de la procédure d'arbitrage ni de l'exécution d'une sentence d'arbitrage, du fait que l'investisseur, partie adverse au différend, aurait perçu une indemnité couvrant tout ou partie de ses pertes en exécution d'une police d'assurance ou de la garantie prévue à l'article 8 du présent Accord.(5) Les sentences d'arbitrage seront définitives et obligatoires pour les deux parties au différend.Chaque Partie contractante s'engage à exécuter les sentences en conformité avec sa législation nationale.

Article 10 Différends entre les parties contractantes (1) Tout différend entre les Parties Contractantes relatif à l'interprétation ou à l'application du présent Accord sera réglé, si possible, par la négociation.(2) Si un différend entre les Parties Contractantes ne peut être réglé de cette manière dans les six mois à dater du moment où le différend a surgi, il sera soumis, à la demande de l'une ou l'autre Partie contractante, à un tribunal arbitral.(3) Ledit tribunal arbitral sera constitué, pour chaque cas particulier, de la manière suivante.Dans les deux mois à compter de la réception de la demande d'arbitrage, chaque Partie contractante désignera un membre du tribunal. Ces deux membres désigneront ensuite un ressortissant d'un Etat tiers qui, moyennant l'accord des deux Parties Contractantes, sera désigné pour exercer la fonction de Président du tribunal. Le Président sera désigné dans les deux mois de la désignation des deux autres membres. (4) Si dans les délais stipulés au paragraphe (3) du présent article, il n'a pas été procédé aux nominations nécessaires, l'une ou l'autre des Parties Contractantes pourra, en l'absence de tout autre accord, inviter le Président de la Cour Internationale de Justice à procéder auxdites nominations.Si le Président est ressortissant de l'une ou l'autre Partie contractante ou si, pour une autre raison, il est empêché d'exercer cette fonction, le Vice-Président sera invité à procéder aux nominations nécessaires. Si le Vice-Président est ressortissant de l'une ou l'autre Partie contractante ou s'il est lui aussi empêché d'exercer cette fonction, le Membre le plus élevé en rang de la Cour Internationale de Justice et qui n'est pas un ressortissant de l'une ou l'autre Partie contractante sera invité à procéder aux nominations nécessaires. (5) Le tribunal arbitral prendra ses décisions à la majorité des voix. Elles seront obligatoires pour les deux Parties contractantes. Chaque Partie contractante supportera les frais de son représentant au tribunal et de sa représentation dans la procédure d'arbitrage; les frais du Président et les autres frais seront supportés à parts égales par les Parties contractantes. Le tribunal pourra toutefois stipuler dans sa décision qu'une part plus importante des frais sera supportée par une des deux Parties Contractantes, et cette décision sera obligatoire pour les deux Parties Contractantes. Le tribunal fixera ses propres règles de procédure.

Article 11 Entrée et séjour du personnel Chacune des Parties Contractantes autorisera, conformément à ses lois et à sa politique en matière d'entrée et de séjour de non-résidents, le personnel de commande et le personnel spécialement qualifié sur le plan technique (y compris le personnel de formation) employés par des investisseurs de l'autre Partie contractante, à entrer sur son territoire et à y séjourner pour une période donnée aux fins d'entamer des activités liées à la réalisation et à l'exploitation des investissements.

Article 12 Règles applicables (1) Sauf dispositions contraires du présent Accord, tous les investissements seront soumis aux lois en vigueur sur le territoire de la Partie contractante où ces investissements sont réalisés.(2) Aucune disposition du présent Accord ne s'opposera à ce que l'une ou l'autre Partie contractante impose des interdictions ou des restrictions, dans la mesure nécessaire à la protection de ses intérêts essentiels en matière de sécurité ou à la prévention des maladies, parasites et prédateurs. Article 13 Application d'autres règles Si les dispositions législatives de l'une ou l'autre Partie contractante ou les obligations découlant du droit international en vigueur actuellement ou contractées dans l'avenir par les Parties contractantes, en plus du présent Accord, contiennent des règles de caractère général ou particulier, par l'effet desquelles les investissements des investisseurs de l'autre Partie contractante bénéficient d'un traitement plus favorable que celui accordé par le présent Accord, ces règles, pour autant qu'elles soient plus favorables, prévaudront sur le présent Accord.

Article 14 Autres obligations Chacune des Parties Contractantes se conformera à toute obligation qu'elle pourrait avoir contractée pour un investissement réalisé par un investisseur de l'autre Partie contractante. En ce qui concerne ces obligations, la procédure de règlement des différends prévue par l'article 9 ne sera toutefois applicable qu'à défaut de voies ordinaires de recours juridique interne.

Article 15 Entrée en vigueur Le présent Accord sera soumis à ratification et entrera en vigueur à la date à laquelle les instruments de ratification auront été échangés.

Article 16 Durée et dénonciation (1) Le présent Accord restera en vigueur pour une période de dix ans et sera ensuite réputé automatiquement reconduit, à moins que l'une des Parties contractantes n'ait notifié à l'autre Partie contractante son intention de le dénoncer.L'Accord expirera un an à compter de la date de réception de ladite notification. (2) A moins que le présent Accord ne soit dénoncé conformément au paragraphe (2) du présent article, il continuera à s'appliquer aux investissements dont la réalisation ou l'acquisition sont antérieurs à la date d'expiration du présent Accord, pour une période de quinze ans à compter de la date d'expiration. En foi de quoi, les soussignés, dûment autorisés par leurs Gouvernements respectifs, ont signé le présent Accord.

Fait à New Delhi, le 31 octobre 1997 en deux exemplaires originaux, chacun en langues française, néerlandaise, anglaise et hindi, tous les textes faisant également foi. Le texte en langue anglaise prévaudra en cas de divergence d'interprétation.

AGREEMENT BETWEEN THE GOVERNMENT OF THE REPUBLIC OF INDIA AND THE BELGO-LUXEMBOURG ECONOMIC UNION FOR THE PROMOTION AND THE PROTECTION OF INVESTMENTS The Government of the Republic of India, on the one hand, and The Belgo-Luxembourg Economic Union represented by the Government of the Kingdom of Belgium, acting both in its own name and in the name of the Government of the Grand-Duchy of Luxembourg, by virtue of existing agreements, the Government of the Region of Wallonia, the Government of the Region of Flanders, and the Government of the Region of Brussels-Capital, on the other hand, hereinafter referred to as the two "Contracting Parties";

Desiring to create conditions favourable for fostering greater investment by investors of one Party in the territory of the other Party;

Recognising that the encouragement and reciprocal protection under international agreement of such investment will be conducive to the stimulation of individual business initiative and will increase prosperity in both States;

Have agreed as follows : Article 1er Definitions For the purposes of this Agreement: (a) "companies" means : (i) in respect of India : corporations, firms and associations incorporated or constituted or established under the law in force in any part of India; (ii) in respect of the Belgo-Luxembourg Economic Union : any legal person constituted in accordance with the legislation of the Kingdom of Belgium or the Grand-Duchy of Luxembourg and having its registered office in the territory of the Kingdom of Belgium or the Grand-Duchy of Luxembourg; (iii) in respect of both Contracting Parties : companies established in a third country in accordance with its laws in which at least fifty-one percent equity interest is owned by investors of one of the Contracting Parties; (b) "investment" means any kind of assets and any contribution in cash, in kind or in services, invested or reinvested in any sector of economic activity, in accordance with the national laws of the Contracting Party in which the investment is made, and in particular, though not exclusively : (i) movable and immovable property as well as other rights such as mortgages, liens, usufruct or pledges; (ii) shares in and stock and debentures of a company and any other similar forms of participation in a company, including minority ones; (iii) rights to money or to any performance under contract having a financial value; (iv) intellectual property rights in accordance with the relevant laws of the respective Contracting Party; (v) business concessions conferred by law or under contract, including concessions to search for, develop, exploit and extract oil, minerals or other natural resources;(c) "investors" means any national or company of a Contracting Party;(d) "nationals" means : (i) in respect of India : persons deriving their status as Indian nationals from the law in force in India; (ii) in respect of the Belgo-Luxembourg Economic Union : any natural person who, according to the legislation of the Kingdom of Belgium or the Grand-Duchy of Luxembourg is considered as a citizen of the Kingdom of Belgium or the Grand-Duchy of Luxembourg; (e) "returns" means the monetary amounts yielded by an investment such as profit, interest, capital gains, dividends, royalties and fees; Changes in the legal form in which assets and capital have been invested or reinvested shall not affect their designation as "investments" for the purpose of this Agreement. (f) "territory" means : (i) in respect of India : the territory of the Republic of India including its territorial waters and the airspace above it and other maritime zones including the Exclusive Economic Zone and continental shelf over which the Republic of India has sovereignty, sovereign rights or exclusive jurisdiction in accordance with its laws in force, the 1982 United Nations Convention on the Law of the Sea and International Law. (ii) in respect of the Belgo-Luxembourg Economic Union : the territory of the Kingdom of Belgium or the territory of the Grand-Duchy of Luxembourg as well as the maritime areas, i.e. the marine and underwater areas which extend beyond the territorial waters, of the States concerned and upon which the latter exercise, in accordance with international law, their sovereign rights and their jurisdiction for the purpose of exploring, exploiting and preserving natural resources.

Article 2 Scope of the Agreement This Agreement shall apply to all investments made by investors of either Contracting Party in the territory of the other Contracting Party, accepted as such in accordance with its laws and regulations, whether made before or after the coming into force of this Agreement.

Article 3 Promotion and Protection of Investment (1) Each Contracting Party shall encourage and create favourable conditions for investors of the other Contracting Party to make investments in its territory, and admit such investments in accordance with its laws and policy within the framework of its laws, and facilitate the fulfilment of procedural and technical requirements in relation to activities connected with an investment.(2) Investments and returns of investors of each Contracting Party shall at all times be accorded fair and equitable treatment in the territory of the other Contracting Party. Article 4 National Treatment and Most-favoured-nation Treatment (1) Each Contracting Party shall accord to investments of investors of the other Contracting Party national treatment or most-favoured-nation treatment, whichever is more favourable to the investor concerned.(2) In addition, each Contracting Party shall accord to investors of the other Contracting Party, including in respect of returns on their investments most-favoured-nation treatment.(3) The provisions of paragraphs 1 and 2 above shall not be construed so as to oblige one Contracting Party to extend to the investors of the other the benefit of any treatment, preference or privilege resulting from : (a) any existing or future customs union, a free trade zone, a common market or similar international agreement to which it is or may become a party, or (b) any matter pertaining wholly or mainly to taxation. Article 5 Expropriation (1) Investments of investors of either Contracting Party shall not be nationalised, expropriated or subjected to measures having effect equivalent to nationalisation or expropriation (hereinafter referred to as "expropriation") in the territory of the other Contracting Party except for a public purpose in accordance with law on a non-discriminatory basis and against fair and equitable compensation. Such compensation shall amount to the genuine value of the investment expropriated immediately before the expropriation or before the impending expropriation became public knowledge, whichever is the earlier, shall include interest at an appropriate commercial rate until the date of payment, shall be made without unreasonable delay, be effectively realized and be freely transferable. (2) The investor affected shall have a right, under the law of the Contracting Party making the expropriation, to review, by a judicial or other independent authority of that Party, of his or its case and of the valuation of his or its investment in accordance with the principles set out in this paragraph.The Contracting Party making the expropriation shall make every endeavour to ensure that such review is carried out promptly. (3) Where a Contracting Party expropriates the assets of a company which is incorporated or constituted under the law in force in any part of its own territory, and in which investors of the other Contracting Party own shares, it shall ensure that the provisions of paragraph (1) of this Article are applied to the extent necessary to ensure fair and equitable compensation in respect of their investment to such investors of the other Contracting Party who are owners of those shares. Article 6 Compensation for Losses Investors of one Contracting Party whose investments in the territory of the other Contracting Party suffer losses owing to war or other armed conflict, a state of national emergency or civil disturbances in the territory of the latter Contracting Party shall be accorded by the latter Contracting Party treatment, as regards restitution, indemnification, compensation or other settlement, no less favourable than that which the latter Contracting Party accords to its own investors or to investors of any third State, whichever is more favourable to the investor concerned. Resulting payments shall be freely transferable.

Article 7 Transfer of Capital, Investment and Returns 1. Each Contracting Party shall with respect to investments in its territory by investors of the other Contracting Party allow the free transfer of : (a) Capital and additional capital amounts used to establish, maintain and increase investments;(b) Net operating profits including dividends and interest in proportion to their share-holding;(c) Repayments of any loan, including interest thereon, relating to the investment;(d) Payment of royalties and services fees relating to the investment;(e) Proceeds from sales of their shares;(f) Proceeds received by investors in case of sale or partial sale or liquidation;(g) The earnings of citizens/nationals of one Contracting Party who work in connection with investment in the territory of the other Contracting Party.2. Nothing in paragraph (1) of this Article shall affect the transfer of any compensation under Article 6 of this Agreement. Article 8 Subrogation Where one Contracting Party or its designated agency has guaranteed any indemnity against non-commercial risks in respect of an investment by any of its investors in the territory of the other Contracting Party and has made payment to such investors in respect of their claims under this Agreement, the other Contracting Party agrees that the first Contracting Party or its designated agency is entitled by virtue of subrogation to exercise the rights and assert the claims of those investors. The subrogated rights or claims shall not exceed the original rights or claims of such investors.

Article 9 Settlement of Investment Disputes (1) Any investment dispute between an investor of one Contracting Party and the other Contracting Party shall be notified in writing by either party to the dispute.The notification shall be accompanied by a sufficiently detailed memorandum.

As far as possible, the parties shall endeavour to settle the dispute through negotiations, if necessary by seeking expert advice from a third party or by conciliation. (2) In the absence of an amicable settlement, by direct agreement between the parties to the dispute or by conciliation, within six months from the notification, the dispute shall be submitted, at the option of the investor, either to the competent judicial of arbitral bodies of the State where the investment was made, or to international arbitration.Once the investor has expressed his choice, that choice is binding and final. (3) In case of international arbitration, the following procedure may be followed : (i) if the State of the investor and the State where the investment was made are both parties to the Convention on the Settlement of Investment Disputes between States and Nationals of other States, 1965, and if both parties to the dispute consent in writing to submit the dispute to the International Centre for the Settlement of Investment Disputes, the dispute shall be referred to the Centre, (ii) if both parties to the dispute so agree, to the Additional Facility Rules for the Administration of Conciliation, Arbitration and Fact-Finding Proceedings, (iii) if the dispute is not referred to the forums in clauses (i) and (ii) above, it shall be referred to an ad hoc arbitral tribunal, set up according to the arbitration rules laid down by the United Nations Commission on International Trade Law (UNCITRAL).To that end, each Contracting Party agrees in advance and irrevocably to the settlement of any dispute by this type of ad hoc arbitration.

The UNCITRAL rules shall apply subject to the following provisions : (a) The appointing authority under Article 7 of the Rules shall be the President, the Vice-President or the next senior Judge of the International Court of Justice, who is not a national of either Contracting Party.The third arbitrator shall not be a national of either Contracting Party. (b) The parties shall appoint their respective arbitrators within two months.(c) The arbitral award shall be made in accordance with the provisions of this Agreement.(d) The arbitral tribunal shall state the basis of its decision and give reasons upon the request of either party.(4) At any stage of the arbitration proceedings or of the execution of an arbitral award, none of the Contracting Parties involved in a dispute shall be entitled to raise as an objection the fact that the investor who is the opposing party in the dispute has received compensation totally or partly covering his losses pursuant to an insurance policy or to the guarantee provided for in Article 8 of this Agreement.(5) The arbitral awards shall be final and binding on the parties to the dispute.Each Contracting Party undertakes to execute the awards in accordance with its national legislation.

Article 10 Disputes between the Contracting Parties (1) Dispute between the Contracting Parties concerning the interpretation or application of this Agreement should, as far as possible, be settled through negotiation.(2) If a dispute between the Contracting Parties cannot thus be settled within six months from the time the dispute arose, it shall upon the request of either Contracting Party be submitted to an arbitral tribunal.(3) Such an arbitral tribunal shall be constituted for each individual case in the following way.Within two months of the receipt of the request for arbitration, each Contracting Party shall appoint one member of the tribunal. Those two members shall then select a national of a third State who an approval by the two Contracting Parties shall be appointed Chairman of the tribunal. The Chairman shall be appointed within two months from the date of appointment of the other two members. (4) If within the periods specified in paragraph (3) of this Agreement the necessary appointments have not been made, either Contracting Party may, in the absence of any other agreement, invite the President of the International Court of Justice to make any necessary appointments.If the President is a national of either Contracting Party or if he is otherwise prevented from discharging the said function, the Vice-President shall be invited to make the necessary appointments. If the Vice-President is a national of either Contracting Party or if he too is prevented from discharging the said function, the Member of the International Court of Justice next in seniority who is not a national of either Contracting Party shall be invited to make the necessary appointments. (5) The arbitral tribunal shall reach its decision by a majority of votes.Such decisions shall be binding on both Contracting Parties.

Each Contracting Party shall bear the cost of its own member of the tribunal and of its representation in the arbitral proceedings; the cost of the Chairman and the remaining costs shall be borne in equal parts by the Contracting Parties. The tribunal may, however, in its decision direct that a higher proportion of costs shall be borne by one of the two Contracting Parties, and this award shall be binding on both Contracting Parties. The tribunal shall determine its own procedure.

Article 11 Entry and Sojourn of Personnel A Contracting Party shall, in accordance to its laws and policy relating to the entry and sojourn of non-citizens, permit key personnel and personnel with special technical skills (including personnel for training) employed by investors of the other Contracting Party, to enter and stay for a required period in its territory for the purpose of engaging in activities connected with the establishment and the operation of the investments.

Article 12 Applicable Laws (1) Except as otherwise provided in this Agreement, all investments shall be governed by the laws in force in the territory of the Contracting Party in which such investments are made.(2) Nothing in this Agreement shall prevent either Contracting Party from applying prohibitions or restrictions to the extent necessary for the protection of its essential security interests or for the prevention of diseases and pests. Article 13 Application of other Rules If the provisions of law of either Contracting Party or obligations under international law existing at present or established hereafter between the Contracting Parties in addition to the present Agreement contain rules, whether general or specific, entitling investments by investors of the other Contracting Party to a treatment more favourable than is provided for by the present Agreement, such rules shall to the extent that they are more favourable prevail over the present Agreement.

Article 14 Other Commitments Each Contracting Party shall observe any obligation it may have entered into with regard to an investment of an investor of the other Contracting Party. In relation to such obligations, dispute resolution under article 9 shall however only be applicable in the absence of normal local judicial remedies being available.

Article 15 Entry into Force This Agreement shall be subject to ratification and shall enter into force on the date of exchange of Instruments of Ratification.

Article 16 Duration and Termination (1) This Agreement shall remain in force for a period of ten years and thereafter it shall be deemed to have been automatically extended unless either Contracting Party gives to the other Contracting Party a written notice of its intention to terminate the Agreement.The Agreement shall stand terminated one year from the date on receipt of such written notice. (2) Notwithstanding termination of this Agreement pursuant to paragraph (2) of this Article, the Agreement shall continue to be effective for a further period of fifteen years from the date of its termination in respect of investments made or acquired before the date of termination of this Agreement. In witness whereof the undersigned, duly authorised thereto by their respective Governments, have signed this Agreement.

Done at New Delhi on this the 31st day of October 1997 in two originals each in the Hindi, English, Dutch and French languages, all texts being equally authoritative. The text in the English language shall prevail in case of difference of interpretation.
